GENERAL TERMS AND CONDITIONS OF SALE

JINGHI manufactures and markets its products (clothing and accessories), directly or indirectly, worldwide under the brand and trade name LEMAIRE.
JINGHI is a simplified joint-stock company (société par actions simplifiée) with a share capital of EUR 18,580, registered with the Paris Trade and Companies Register under number B 381 279 165, with its registered office located at 11, Place des Vosges, 75004 Paris, telephone: +33 1 85 09 04 24, email: customerservice@lemaire.fr, intra-community VAT number: FR 24381279165 (hereinafter referred to as “LEMAIRE” or the “LEMAIRE Company”).
ARTICLE 1: SCOPE OF APPLICATION
These “General Terms and Conditions of Sale” (hereinafter the “GTC”) apply to the distance sale of LEMAIRE items and are reserved for consumers acting exclusively for their personal use (hereinafter the “Customer”). It is specified that French law shall apply to any order placed via the LEMAIRE website accessible at www.lemaire.fr (hereinafter the “Website”) or by telephone with LEMAIRE boutique sales advisors, regardless of the country of delivery chosen by the Customer (hereinafter the “Order”).
Any order that does not correspond to a retail sale and, more generally, any fraudulent order may be refused by LEMAIRE. LEMAIRE therefore reserves the right to limit the quantities of an item delivered to the same consumer or to the same postal address.
These GTC are agreed between LEMAIRE and the Customer (hereinafter collectively referred to as the “Parties”). Their purpose is, on the one hand, to inform any potential Customer of the conditions under which LEMAIRE items are sold and, on the other hand, to define the rights and obligations of the Parties.
For telephone sales, the Customer is invited to consult and download the GTC available on the Website before confirming the Order. For sales on the Website, by ticking the box provided for this purpose, the Customer acknowledges having read the GTC prior to placing the Order and accepts them without reservation. The GTC may be saved and printed by any person visiting the Website.
LEMAIRE reserves the right to modify the GTC at any time. However, the GTC applicable to an Order are those accepted by the Customer at the time the Order is placed. The GTC are supplemented by the cookie usage rules and the privacy policy available on the Website.
Please note that Global-e France SAS, a French company registered with the Paris Trade and Companies Register under number 818 358 459 and having its registered office at 320 rue Saint-Honoré, 75001 Paris, France, acts as a subcontractor of LEMAIRE in order to:

facilitate sales to Customers and enable them to place Orders for destinations where LEMAIRE does not usually offer order processing and fulfillment services; and

process Customer payments.
Where applicable, Global-e France SAS processes the Order and payment on behalf of LEMAIRE and is not a party to the contract entered into between LEMAIRE and the Customer. Depending on the Customer’s location, payment may be processed by a Global-e subsidiary (including Global-e Australia Pty Ltd or Global-e NL BV) or by one of its other payment service providers.
ARTICLE 2: PRODUCT INFORMATION
Information relating to LEMAIRE items, as well as their references, is available in all LEMAIRE boutiques and on the Website. The Customer may select one or more items from the various categories offered on the Website, subject to availability. LEMAIRE reserves the right to modify the items offered for sale on the Website at any time, without prejudice to Orders already placed. For any questions or requests, the Customer may contact LEMAIRE Customer Service by email at customerservice@lemaire.fr or by telephone at +33 1 72 95 21 21 (France) / +33 9 74 75 58 58 (International), Monday to Friday from 10 a.m. to 7 p.m. (GMT), excluding public holidays.
Despite the care taken in presenting items on the Website, LEMAIRE cannot guarantee that their actual appearance exactly matches their on-screen display, particularly with regard to color variations. LEMAIRE shall not be held liable for any minor errors.
LEMAIRE reserves the right to withdraw items from sale at any time. If an item ordered by the Customer is unavailable, the Customer will be informed as soon as possible by Customer Service and will be refunded by credit to their bank card or PayPal account. Amounts paid by the Customer do not constitute a deposit. Consequently, the Customer acknowledges that the application of Article L214-1 of the French Consumer Code is expressly excluded.
Product images shown on the Website (products and/or packaging) are provided for indicative purposes only and their appearance may be altered by the equipment used by the Customer to access the Website or the images. LEMAIRE shall not be held liable in this respect. The Customer may exercise their right of withdrawal at any time in accordance with the GTC.
ARTICLE 3: ORDERS
Any Order implies acceptance of the GTC, unless otherwise expressly agreed between the Parties.
3.1 Orders on the Website
Orders may be placed on the Website. Telecommunications costs related to internet access and Website use are borne by the Customer. All steps necessary for the sale are detailed on the Website. The Customer reviews the specific conditions (which form an integral part of the GTC), checks the details and total price of the Order, and corrects any errors before definitively confirming the Order and proceeding with payment.
The Customer is informed that confirming an Order entails an obligation to pay the agreed price and that, once confirmed, the Order may no longer be canceled, except as provided by law, in particular through the exercise of the right of withdrawal in accordance with Article 7 below. To definitively confirm the Order, the Customer accepts the GTC and clicks on “Confirm payment.” Upon receipt of Order confirmation and payment, LEMAIRE immediately acknowledges receipt electronically. The GTC become applicable upon acceptance, and the contract is deemed concluded upon dispatch of this acknowledgment. The Customer will then receive an email confirming shipment.
If LEMAIRE suspects fraudulent or unauthorized use of identity, postal address, email address and/or payment details, it may carry out additional checks or request further information between sending the acknowledgment of receipt of the Order and the shipment confirmation email. In accordance with Article 3.4, LEMAIRE reserves the right to suspend or cancel any Order and/or delivery if fraudulent or unauthorized payment use is confirmed.
LEMAIRE recommends that the Customer retain these emails in paper or digital form. If the emails are not received, the Customer is invited to check their spam folder. Emails are sent to the email address provided by the Customer; LEMAIRE shall not be held liable for errors in the email address entered (unless attributable to LEMAIRE). In such cases, the sale shall be deemed final, subject to the Customer’s right of withdrawal in accordance with Article 7.
3.2 Orders without creating a Website account
If the Customer does not request registration of the data necessary to fulfill the Order, no account is created on the Website. An electronic invoice will be attached to the email informing the Customer of shipment.
3.3 Refusal, suspension, or cancellation of Orders
LEMAIRE reserves the right to refuse or cancel any Order whose quantity or total amount (for one or more combined Orders) does not correspond to average household consumption, or any Order that reasonably appears to be linked to undeclared commercial activity, or for any other legitimate reason. LEMAIRE also reserves the right to suspend or cancel any Order and/or delivery, regardless of its nature or progress, in the event of non-payment, partial payment, payment incident, or fraud or attempted fraud related to the use of the Website, including in connection with previous Orders.
LEMAIRE will endeavor to process and fulfill all Orders as quickly as possible. However, an Order may be refused, after notifying the Customer, in the following cases:
(a) the product is unavailable (in which case, if payment has been processed, LEMAIRE will refund the Customer in accordance with the GTC);
(b) LEMAIRE is unable to verify the payment information provided by the Customer;
(c) the Order originates from a Customer with whom a dispute relating to a previous Order exists;
(d) LEMAIRE has reason to believe that the Customer has breached the GTC or is involved in fraudulent activity, or for any other legitimate reason.
An Order may also be refused if it is suspected of being placed with malicious or fraudulent intent or if it does not originate from a private individual. LEMAIRE reserves the right to refuse an Order for any legitimate reason, in accordance with Article L.121-11 of the French Consumer Code. In addition, an Order may be canceled (in whole or in part) even after the shipment confirmation email has been sent in the event of a manifest error by LEMAIRE, such as an abnormally low price that the Customer could reasonably have identified as erroneous. In such cases, LEMAIRE is not required to supply the products at the incorrect price. The Customer will receive a detailed cancellation notification, after which the Order will be automatically canceled and the amount paid refunded. Amounts paid do not constitute a deposit, and Article L214-1 of the French Consumer Code does not apply.
3.4 Complimentary items with an Order
The specific conditions relating to complimentary items offered with an Order are detailed on a case-by-case basis on the Website or by the in-store sales associate. The following conditions also apply:

the complimentary item cannot be exchanged for another item, cash, or store credit;

the complimentary item is delivered with the ordered items;

the complimentary item is automatically added to the online cart and shipped to the same address;
-
the offer is not cumulative with other offers unless otherwise stated and may be limited, at LEMAIRE’s discretion, to in-store, online, or authorized reseller Orders only;
-
the offer is valid while stocks last.
If one or more purchased items are returned and the resulting Order amount falls below the minimum purchase amount required to receive the complimentary item, the Customer must return the complimentary item. These provisions also apply in the event of withdrawal in accordance with Article 7.
The return conditions set out in Article 7 apply to the return of the complimentary item.
3.5 General conditions for digital gift cards
Valid for 12 months from the date of purchase.

Usable online only, worldwide.

Valid only in the currency of purchase.

May be used multiple times until the balance is exhausted.

If the Order amount exceeds the gift card value, the balance may be paid using another payment method.

Only one gift card may be used per Order.

Discount codes may be combined with gift cards.

Gift cards are non-refundable and cannot be exchanged for cash.
If the gift card is intended for another person, the recipient’s email address may be entered at checkout; the card will be sent directly to them.

Orders paid entirely with a gift card: the refunded amount will be credited back to the original gift card.

Orders paid with a gift card and a bank card or PayPal: the bank card or PayPal portion will be refunded accordingly, and the gift card portion credited back to the original gift card.
The original gift card remains valid and reusable after a refund. No new card will be issued. Amounts paid with a gift card cannot be refunded to a bank account.
